FOR BUSINESS OWNERS
Why would I consider partnering with Clarity Capital?
Business owners may be looking to achieve partial or fully liquidity on their equity ownership to diversify their net worth for estate planning purposes. Or, owners may seek capital investment to initiate growth or capital expenditures. Clarity Capital leverages its network of resources to assist businesses and management teams to achieve their strategic goals.

What is Clarity Capital's investment strategy?
Clarity Capital focuses on businesses and industries where we have relevant experience and can be a partner for strategic growth. These include manufacturing, chemical & minerals, packaging, distribution, specialty materials, and storage & containers. We target companies with at least $2 million of annual EBITDA and revenues between $15 million and $100 million. We partner with management teams that are motivated for growth and results driven.

How Can I be sure Clarity Capital will keep my information confidential?
Clarity Capital believes any partnership must be based in trust. All of our conversations with you are confidential. After a brief introductory conversation with you to understand your business, we will sign a confidentiality &/or nondisclosure agreement if we agree that it makes sense to share additional information.

When I sell my business, do I need to sell 100% of my business?
While Clarity Capital prefers majority ownership positions, it is possible to retain an ownership stake (typically 5 - 25%). You will be able to benefit from the opportunity for future growth and value in the business. We are flexible in structuring a transaction and want to meet the needs of all business stakeholders, owners, and family ownership groups.

If I sell my business, will I no longer be able to be involved?
You will have the opportunity to be involved in the business going forward. For owners who do not want to remain involved in the day-to-day management, we will ask key stakeholders to serve in an advisory or consulting capacity to the business for a period of time, either sitting on the board of directors or acting as a strategic resource for the company.

If I sell my business, will my employees leave or be terminated by Clarity Capital?
Clarity Capital seeks to partner with strong management teams and driven employees, it makes sense to retain a company's employee base. We believe, as stewards of a business, that we are investing in people. We seek investment returns by growing the business by retaining the talented employees, providing equity, and bonus incentive programs.

How long does it take Clarity Capital to close on an investment decision?
Each transaction has its own complexities. Typically, after we receive initial information on the business, we will provide a Letter of Intent (LOI) and can complete the transaction 60 - 90 days after open access to the management team and company information. We will execute a thorough due diligence process and move quickly to complete the transaction.

Does Clarity Capital operate businesses?
Typically, Clarity Capital is not actively involved in the day-to-day management of the company. We act as board members, advisors to senior management, and support the strategic growth plans of the company. We put our time and resources into the business to support the company's goals.

How does Clarity Capital help create value over the course of its ownership?

Our involvement comes in the form of strategic planning and our depth of resources to support the business. Where necessary we will involve outside executive partners with relevant experience to support the company.

What is Clarity Capital's investment horizon & preferred exit strategy?
Clarity Capital does not have a fixed exit horizon for any investment. Each exit decision is based on careful consideration by Clarity Capital and company management, while ensuring that the best interests of ownership, employees, customers, and suppliers are maintained.
